LAW - 5222 Contracts Drafting

(2 hours)

This course introduces students to the design, drafting and interpretation of contracts. Students will complete a number of drafting and drafting-related exercises. These may include 1) drafting of simple contracts, 2) drafting of clauses for inclusion in complex contracts, 3) analyzing and redrafting simple contracts or specific contractual clauses, and 4) editing drafts of contracts or clauses drafted by others. Some drafting exercises may be done in class and some may be group projects. The readings and drafting assignments may require close examination of substantive contract law, client objectives, practical realities, and background legal rules, e.g., statutes that may limit contractual options. While the emphasis will be on basic contract drafting, the skills learned will be transferable to more complex contracts. Student grades will be based upon 1) the drafting, redrafting and editing assignments and 2) class attendance and participation.
