LAW 5654 Basic Corporate Law

(4 hours)

Introduces the statutory and case law that governs forming, financing, and managing corporations, as well the rights, duties, and financial rewards of corporate shareholders, directors, and officers. Emphasis on closely-held corporations, with some discussion of correlative tax and securities law problems. Students who take Corporations Law in London may not count this course toward degree requirements.
